Terms of Service
Effective Date: January 1st, 2013
A phone or email lead that has been forwarded directly to the Lead Buyer. All phone and emailed leads are also tracked and recorded for accounting purposes. The Lead Supplier (that’s us) assumes all costs of advertising, domains, web hosting and labor involved in collecting the leads. Website and all associated assets are and will remain property of the Lead Supplier. The Lead Buyer (that’s you) is purchasing phone and emailed leads only, no agency relationship, joint venture or partnership is created by this Agreement. Phone leads will be call forwarded to the Lead Buyer's preferred phone number by Lead Supplier source tracked business number. Email leads will be forwarded from various online landing pages and contact forms provided by supplier to the Lead Buyer's preferred email address. All leads are generated directly by the Lead Supplier and sold exclusively to Lead Buyer. Leads will not be resold to any other entities as long as the Lead Buyer remains current on payments.

Service Description: The Provider agrees to supply the Client with leads generated through various channels, including but not limited to phone calls, form submissions, Facebook Messenger, and Google Ads. All leads will be sent exclusively to the Client as long as they remain a Client of the Provider.
Delivery Method: All phone leads will be directly forwarded to the Client via a call tracking number. Upon receiving a lead, the Client will hear a "whisper message" stating, "This is a new lead from Broomfield Deck and Fence." Email leads will be forwarded directly to the Client's chosen email inbox.
Pricing and Payment Terms
- First Month: The service will be provided at a rate of $300 for the first month.
- Subsequent Months: After 30 days, both parties will re-evaluate the service. If both parties are satisfied, the monthly fee will increase to $500 per month.
- No Long-Term Contract: This Agreement does not constitute a long-term contract and may be terminated as per the conditions stated herein.
Client Responsibilities: The Client agrees to respond to all leads as quickly as possible. Due to the nature of these leads—stemming from individuals performing internet searches for needed services—prompt response is crucial. Delays in response may result in the lead contacting other companies.
Confidentiality: Both parties agree to maintain the confidentiality of all information and leads provided under this Agreement. The leads are for the exclusive use of the Client and shall not be shared with any third parties.
Term: The initial term of this Agreement is one (1) month beginning on the Effective Date (“Initial Term”). The Initial Term of this Service Agreement will automatically renew for an additional one month period unless at least
three (3) days prior to the end of the Initial Term, or the then running extended term, either party gives the other party written/email notice of its intention not to extend the term further.
Grant of Rights: DK Consulting Group of NY hereby owns all trademarks, and service marks associated with the products, including DK Consulting Group of NY management programs. DK Consulting Group of NY owns all rights and title to copyrights for DK Consulting Group of NY Marketing. DK Consulting Group of NY is owner of all processes, permutable or otherwise in the products as a business method. DK Consulting Group of NY hereby grants Client limited use in the rights to use the works and methods for the term of the agreement and under the terms of this agreement.
Terms of Termination: This is a legally binding contract for the terms provided herein. Clients may use DK Consulting Group of NY for the terms of the agreement. After the termination of this agreement Client agrees that it will not use DK Consulting Group of NY Marketing without knowledge of DK Consulting Group of NY Client also agrees to delete any electronically stored copies of DK Consulting Group of NY Marketing material and or programs. Charges will commence on the executed date of the agreement. If the account becomes delinquent services will be suspended until the account is brought current.
Cancellation: This agreement may be cancelled at any time by either party with a written 30-day notice. If Client does not cancel the agreement 30 days prior to the current billing month Client will be billed for service. DK Consulting Group of NY agrees to continue management of said agreement until the final date of cancellation.
Past Due: Interest Charges on Past Due Accounts and Collection Costs Overdue amounts shall be subject to a monthly finance charge. In addition, customer shall reimburse all costs and expenses for attorney's fees incurred in collecting any amounts past due.
Indemnity, Confidentiality, NonCircumvention: Client agrees to indemnify and DK Consulting Group of NY harmless against any losses, expenses, or damages incurred by Client because of claims related to or arising from Client conduct, including without limitation (a) any breach of this Agreement by Client; (b) any illegal violations of the intellectual of any third party under copyright, trademark, or patent of the United States or any other country. Client agrees to safeguard DK Consulting Group of NY Confidential Information to the best of their ability from unauthorized disclosure, access, use and misappropriation.
Data Ownership: All ads, websites, and social media pages relating to the Client, whether in existence at the
Execution Date hereof or compiled thereafter in the course of performing the Services, shall be treated by DK Consulting Group of NY as the exclusive property of the DK Consulting Group of NY and the furnishing of or access to such items by the Client shall not grant any express or implied interest in or license to the Client relating to such items other than as is necessary to perform and provide the Services to the Client.
Entire Agreement: These Terms and Conditions constitute the entire agreement of the Parties related to the subject matter hereof, and supersedes any and all prior representations, negotiations, agreements, and understandings, written and/or oral, between the Parties.
Legal Dispute: In the event of a legal dispute, DK Consulting Group of NY shall have the rights to collect from the Client its reasonable cost and necessary disbursements and attorney’s fees incurred in enforcing this agreement.
Amendment: This Agreement may only be amended or modified in writing, signed by both parties.
By signing this proposal, both parties agree to the terms and conditions set forth in this Agreement.
